Procedure for Change of Name for LLP
The Limited Liability Partnership may change its name by
following the procedure as laid down in the limited liability partnership
agreement. Where the limited liability partnership agreement does not provide
such procedure, consent of all partners shall be required for changing the name
of the limited liability partnership.
To start with the process, LLP shall apply for reservation
of proposed name to the Registrar of Companies in eForm 1 prescribed under Rule
18 of LLP Rules 2009. Name application to be accompanied by consent of the
Partners passed in compliance with the Act and LLP agreement entered into
between the partners and LLP.
On receipt of application, Registrar if satisfied subject to
the rules prescribed by the Central Government in the matter, that the name to
be reserved is not one which may be rejected on any ground referred to in
sub-section (2) of section 15, reserve the name for a period of three months
from the date of intimation by the Registrar.
Application to be filed in eForm 5 prescribed under Rule 20
of LLP Rules 2009 for change of name of the LLP to the proposed name reserved
for the purpose.
File eform 3 for amendment in the LLP Agreement within 30
days of change of the name
